Terms of Service

Effective date: June 19, 2026

These Terms of Service (“Terms”) govern your access to and use of the Safer Inventory platform and related services (the “Service”) provided by Pistis Contracting Inc., a corporation incorporated under the laws of Ontario, Canada, operating under the trade name Safer Inventory (“we,” “our,” or “us”). By accessing the Service, creating an account, or clicking “I Agree,” you agree to these Terms on behalf of yourself and, if applicable, the business entity you represent (“you” or “Customer”).

Nothing in these Terms limits any right you may have under applicable law, including rights under the Ontario Consumer Protection Act, 2002 or federal Canadian law.

1. The Service

Safer Inventory is a B2B inventory management platform providing real-time stock tracking, order management, purchase order workflows, reporting, and related features for electrical contractors, distributors, and suppliers. Features available to your account depend on your subscription tier as described at saferinventory.com/pricing.

2. Account Registration and Eligibility

You must be at least 18 years of age and authorized to bind the business entity on whose behalf you are registering. By creating an account, you represent that: (a) all registration information you provide is accurate and current; (b) you will maintain the accuracy of that information; and (c) your use of the Service does not violate any applicable law or third-party agreement.

You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. Notify us immediately at support@saferinventory.com if you suspect unauthorized access.

3. Subscription Plans and Fees

The Service is offered under subscription tiers described on our Pricing page. All fees are in Canadian dollars (CAD) unless otherwise stated.

Monthly subscriptions are billed in advance on the first day of each billing period. Annual subscriptions are billed in advance for the full year. Prices are subject to change on 30 days' written notice; see Section 15 for material change terms.

Payment is processed by Stripe Inc. All major credit cards are accepted. Pistis Contracting Inc. does not store raw card numbers (PCI-DSS compliance delegated to Stripe).

4. Free Tier and Trials

If you are using a free tier or trial period, you may use the Service subject to any feature or usage limitations described at sign-up. We reserve the right to modify or discontinue the free tier at any time on 30 days' notice. At the end of a trial, your account will revert to the free tier or require a paid subscription to continue access to paid features.

5. Term and Termination

Monthly subscriptions continue month-to-month until cancelled. Annual subscriptions continue for 12 months from the subscription start date.

You may cancel your subscription at any time through your account settings or by contacting support@saferinventory.com. Upon cancellation:

  • Monthly subscriptions: access continues until the end of the current billing period; no partial refund is issued.
  • Annual subscriptions: access continues until the end of the 12-month term; no prorated refund is issued unless termination is triggered by our material breach or under Section 15 (material changes to annual subscribers).

We may suspend or terminate your account for: (a) material breach of these Terms that is not cured within 15 days of written notice; (b) non-payment as described in Section 14; (c) use of the Service in a manner that creates legal liability for us or harms other users; or (d) as required by applicable law.

Upon termination for any reason, you retain the right to export your data for 30 days after the termination date. We will provide your data in CSV or JSON format on written request during this period. After 30 days, your data may be deleted in accordance with our Privacy Policy.

6. Customer Data Ownership

You own all data, content, and information you submit to the Service (“Customer Data”). You grant Pistis Contracting Inc. a limited, non-exclusive, royalty-free licence to process Customer Data solely to provide and improve the Service as described in our Privacy Policy and Data Processing Agreement.

We do not sell Customer Data to third parties.

7. Intellectual Property

The Service, including all software, interfaces, logos, and documentation, is the intellectual property of Pistis Contracting Inc. and is licensed to you for use only during your subscription term and only as described in these Terms. You may not:

  • Reverse-engineer, decompile, or disassemble the Service
  • Create derivative works of the Service
  • Sublicense or resell access to the Service without our prior written consent (Enterprise white-label agreements excepted)
  • Use the Service to build a competing product or service

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Upload or transmit malware, viruses, or any code designed to harm systems or data
  • Attempt to gain unauthorized access to our systems or to any other customer's account
  • Use automated tools to scrape or extract data beyond normal API usage permitted by your plan
  • Impersonate any person or entity
  • Infringe the intellectual property rights of any third party
  • Manage controlled substances, weapons, or illegal goods through the platform

9. Service Level Commitment and Remedies

We target 99% monthly uptimefor paid subscription plans (“Uptime Target”), measured as: (Total minutes in month − Downtime minutes) ÷ Total minutes in month × 100.

“Downtime” means periods of more than 5 consecutive minutes during which the Service is fully unavailable due to issues within our control. Downtime excludes: (a) scheduled maintenance windows announced at least 48 hours in advance via status.saferinventory.com; (b) emergency maintenance; (c) outages caused by third-party infrastructure providers outside our reasonable control; and (d) force majeure events (Section 16).

Service credits for uptime failures on paid plans:

Credits are applied to the next invoice. To claim a credit, submit a request to support@saferinventory.com within 30 days of the affected month. Credits are the sole and exclusive remedy for uptime failures and do not entitle you to a refund of subscription fees.

10. Privacy and Data Processing

Your use of the Service is also governed by our Privacy Policy and, for business customers processing personal information through the Service, our Data Processing Agreement, both of which are incorporated into these Terms by reference.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) THE TOTAL CUMULATIVE LIABILITY OF PISTIS CONTRACTING INC. (OPERATING AS SAFER INVENTORY) TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) CAD $1,000.

The exclusions and limitations in this Section do not apply to: (i) death or personal injury caused by our gross negligence; (ii) fraud or fraudulent misrepresentation; (iii) our indemnification obligations under Section 12; (iv) our obligations under the Data Processing Agreement with respect to data breaches caused by our failure to maintain reasonable security; or (v) any liability that cannot be excluded or limited under applicable Ontario or Canadian law.

12. Indemnification

12.1 Customer indemnification. You will indemnify, defend, and hold harmless Pistis Contracting Inc. and its officers, directors, employees, and contractors from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Customer Data that infringes the intellectual property rights of a third party or violates applicable law; or (c) your violation of any applicable law or regulation.

12.2 Vendor IP indemnification. We will indemnify, defend, and hold harmless you from and against any third-party claims alleging that the Service, as provided by us and used in accordance with these Terms, infringes the intellectual property rights of any third party, provided that: (a) you promptly notify us in writing of the claim; (b) you grant us sole control of the defense and settlement negotiations; and (c) you cooperate with us in the defense. This indemnification does not apply to claims arising from Customer Data, your modifications to the Service, or your use of the Service in combination with third-party products or services not approved by us.

13. Warranties and Disclaimer

We warrant that the Service will perform materially in accordance with our documentation and that we will use commercially reasonable efforts to maintain security safeguards consistent with our Data Processing Agreement.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

14. Non-Payment and Suspension

If any undisputed payment is overdue by more than 14 days, we will send written notice to your billing email address. If the overdue amount is not paid within 10 business days of that notice, we may suspend your access to the Service.

We will not suspend access due to non-payment for annual subscribers who have prepaid for the current subscription year, unless additional fees (e.g., overage charges) are outstanding. Suspended accounts remain suspended until the outstanding balance is paid in full. If an account remains suspended for more than 60 days, we may terminate it under Section 5.

15. Changes to These Terms

We may update these Terms from time to time. For material changes (changes to pricing, payment terms, liability limits, or data practices), we will provide at least 30 days' written notice to your account email address.

Monthly subscribers: continued use of the Service after the notice period constitutes acceptance of the updated Terms.

Annual subscribers: material changes do not automatically apply during your current annual term. If you do not accept a material change, you may terminate your annual subscription without penalty before the end of your current term and receive a prorated refund of prepaid fees for the unused portion of the term. At renewal, the then-current Terms apply.

We will indicate the “Last Updated” date at the top of this page whenever changes are made.

16. Force Majeure

Neither party will be liable to the other for any delay or failure to perform obligations (other than payment obligations) caused by circumstances beyond that party's reasonable control, including but not limited to: natural disasters, acts of God, pandemics or public health emergencies, government orders or regulations, internet infrastructure outages, power grid failures, cyber-attacks by third parties, labour disputes not involving that party's own employees, or actions of third-party service providers beyond our reasonable control. The affected party will: (a) promptly notify the other party; (b) use commercially reasonable efforts to resume performance; and (c) if the force majeure event lasts more than 30 days, either party may terminate the affected subscription for a prorated refund of prepaid fees.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Nothing in this Section prevents you from filing a complaint with the Office of the Privacy Commissioner of Canada, the Ontario Consumer Protection Branch, or any other applicable regulatory body.

18. General

18.1 Entire agreement. These Terms, together with the Privacy Policy and any executed Data Processing Agreement, constitute the entire agreement between you and Pistis Contracting Inc. regarding the Service and supersede all prior agreements.

18.2 Severability. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

18.3 Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.

18.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, subject to Section 18.5.

18.5 Business transfer. In the event of a merger, acquisition, or sale of substantially all of our assets, we will provide you with notice at least 30 days before your personal information is transferred to the acquiring entity. You will have the opportunity to delete your account and data before the transfer takes effect if you do not wish to continue with the successor entity.
