Terms of Service

These Terms of Service ("Terms") govern your access to and use of the inventory management platform and related services ("Service") operated by Pistis Contracting Inc. doing business as Safer Inventory("we", "our", "us"), accessible at saferinventory.com.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and have the legal authority to enter into a binding agreement to use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Your account

You are responsible for maintaining the security of your account credentials. You must notify us immediately at security@saferinventory.com if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, including actions taken by team members you invite to your organization.

3. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Upload or transmit malware, viruses, or any code designed to harm systems or data
• Attempt to gain unauthorized access to the Service or its underlying infrastructure
• Scrape, crawl, or systematically extract data from the Service
• Resell or sublicense access to the Service without our written authorization (Enterprise white-label agreements excepted)
• Use the Service to manage controlled substances, weapons, or illegal goods

4. Payment terms

Paid plans are billed in advance, monthly or annually as selected at checkout. Pricing is available at saferinventory.com/pricing.

All fees are non-refundable unless otherwise required by applicable law. If you downgrade or cancel, you retain access to your paid plan features until the end of the current billing period. We do not issue prorated refunds for mid-cycle cancellations.

We may change pricing at any time. We will give you at least 30 days' notice of a price increase. If you do not agree to the new price, you may cancel before the new price takes effect.

5. Free plan

The Bronze plan is available at no charge subject to the limits described on the Pricing page. We reserve the right to modify or discontinue the free plan at any time with 30 days' notice.

6. Your data

You retain all ownership of the data you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive licence to host, process, and display your Customer Data solely as necessary to provide the Service to you.

We will not access your Customer Data except to provide support you have requested, to comply with legal obligations, or to investigate abuse of the Service.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Pistis Contracting Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand without our prior written consent.

8. Third-party integrations

The Service integrates with third-party platforms including Shopify, Wave Accounting, and others. Your use of those platforms is governed by their own terms of service. We are not responsible for the availability or performance of third-party services.

9. Uptime and availability

We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free. We will use commercially reasonable efforts to provide at least 99% monthly uptime for paid plans. Planned maintenance will be announced in advance where possible.

Enterprise customers with SLA requirements should refer to their Enterprise Agreement for specific uptime commitments.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE IS ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PISTIS CONTRACTING INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.

12. Indemnification

You agree to indemnify and hold harmless Pistis Contracting Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party right.

13. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access to the Service if you violate these Terms, if your account remains unpaid for more than 14 days, or if we reasonably believe your use of the Service poses a security risk.

Upon termination, your right to use the Service ceases. We will retain your data for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Ontario, Canada.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
